TERMS AND CONDITIONS OF USE OF THE MOVEA MOBILE APPLICATION

Please carefully read these Terms of Use regarding the collection and use of personal information. Use of the mobile application and website of IDEAR ELECTRÓNICA, S.A. DE C.V. implies your acceptance of these Terms of Use. These Terms and Conditions of Use (hereinafter, the “Terms and Conditions”) govern the access to, downloading, installation, registration, browsing and use of the mobile application named “MOVEA”, as well as its related platforms, sites, interfaces, functionalities, content and technology services. MOVEA is a technology platform developed, managed and/or exploited by IDEAR ELECTRÓNICA, S.A. DE C.V., which shall hereinafter be referred to interchangeably as “IDEAR ELECTRÓNICA”, “MOVEA” or the “Company”, as applicable. Any person who downloads, accesses, browses, registers for or uses MOVEA shall be considered a “User” and shall be subject to these Terms and Conditions.

FIRST. DEFINITIONS

For purposes of these Terms and Conditions, the following terms shall have the meaning set forth below:

Application or MOVEA: the mobile application, technology platform, website, interfaces, APIs, digital services and other technology solutions identified under the name MOVEA that are developed, managed, licensed or operated by IDEAR ELECTRÓNICA.

IDEAR ELECTRÓNICA: IDEAR ELECTRÓNICA, S.A. DE C.V., as well as, where applicable, its authorized suppliers, licensors and technology providers, without this implying the attribution to such persons of obligations that legally correspond exclusively to IDEAR ELECTRÓNICA.

Content: any information, text, image, photograph, map, graphic, icon, design, interface, data, route, schedule, path, location, estimate, alert, notice, code, computer program, algorithm, model, database, audiovisual material and any other element available through MOVEA.

Account: the individual electronic registration which, if such functionality is enabled, allows the User to be identified and to access certain functionalities of MOVEA.

Data: information obtained, received, processed, generated or displayed by MOVEA related to mobility, transportation, routes, vehicles, locations, schedules, frequencies, paths, passenger loads, availability, capacity, incidents or other elements related to the provision of mobility services.

Transportation Services: the public transportation or mobility services, or related services, whose information may be viewed or consulted through MOVEA.

Third Parties: authorities, public agencies, concessionaires, permit holders, carriers, operators, information providers, technology providers, telecommunications providers, digital platforms and any other natural persons or legal entities other than IDEAR ELECTRÓNICA that participate directly or indirectly in the generation or provision of services or information linked to MOVEA.

User: any natural person who downloads, accesses, browses, consults, installs, registers for or uses MOVEA.

SECOND. PURPOSE OF MOVEA

MOVEA is a technology platform for information, consultation, guidance and assistance in matters of mobility and transportation, the purpose of which is to facilitate Users’ access to information related to the Transportation Services. MOVEA may provide, among other functionalities:

• a) consultation of routes and paths;

• b) identification and location of stops, stations, terminals and points of interest;

• c) scheduled or estimated timetables;

• d) service frequencies;

• e) estimated arrival times;

• f) approximate location of vehicles, when the available technological infrastructure so permits;

• g) estimated information on availability, occupancy, capacity or passenger load;

• h) journey planning and recommendations;

• i) alerts, incidents, route changes and operational notices;

• j) information on fares and modes of access to transportation;

• k) information regarding mobility infrastructure and services;

• l) integration with maps and geolocation services;

• m) mobility-related notifications;

• n) accessibility functionalities;

• o) statistical, predictive or analytical information related to mobility and transportation; and

• p) any other technological functionalities that IDEAR ELECTRÓNICA may subsequently incorporate. The available functionalities may vary depending on the city, transportation system, device, operating system, availability of information, agreements entered into with authorities, carriers or third parties, and other technical or operational circumstances.

THIRD. NATURE OF MOVEA AND OF THE TRANSPORTATION SERVICES.

Unless expressly stated otherwise with respect to a specific functionality, IDEAR ELECTRÓNICA is a technology provider and does not directly provide the public passenger transportation service. Consequently, IDEAR ELECTRÓNICA shall not, by the mere fact of providing MOVEA, have the status of transportation authority, concessionaire, permit holder, carrier, vehicle operator or party responsible for the material provision of the Transportation Services shown in the Application. MOVEA constitutes a technological tool intended to facilitate access to information related to mobility and transportation and does not replace the powers, obligations, responsibilities or decisions that correspond to authorities, concessionaires, permit holders, operators or carriers. The Transportation Services shall be subject to the legislation, regulations, concessions, permits, operating rules, fares, schedules, conditions and provisions applicable in each locality.

FOURTH. INFORMATION ON ROUTES, SCHEDULES, LOCATION, ARRIVAL TIMES AND CAPACITY.

The information presented in MOVEA may come from proprietary systems or from Third Parties, including devices installed in vehicles or transportation infrastructure, global positioning systems (GPS), fare collection systems, application programming interfaces (API), geographic information systems, authorities, public agencies, concessionaires, permit holders, carriers, operators and technology providers. Certain information may be generated, supplemented, processed or estimated by means of algorithms, statistical models, automated systems, data analytics or artificial intelligence technologies. By its very nature, such information may be subject to variations arising from actual operating conditions. Schedules, arrival times, frequencies, vehicle location, availability, capacity, passenger load and other dynamic information shall be considered estimates of an informative and guiding nature, unless expressly stated otherwise. The information may be affected by traffic, accidents, road closures, demonstrations, public events, construction works, weather conditions, route changes, decisions of authorities, security incidents, vehicle overcrowding, telecommunications failures, loss of GPS signal, equipment failures, system interruptions, incorrect information provided by Third Parties, fortuitous events, force majeure or other circumstances beyond the reasonable control of IDEAR ELECTRÓNICA. Consequently, IDEAR ELECTRÓNICA does not guarantee that a vehicle will arrive exactly at the indicated time, that it will travel exactly through the location shown, that space or capacity will be available, or that a path, schedule or frequency will remain unchanged. The foregoing does not release IDEAR ELECTRÓNICA from the liabilities that, if applicable, are legally enforceable for acts directly attributable to the Company.

FIFTH. TRIP PLANNING AND ROUTE RECOMMENDATIONS.

MOVEA may generate travel alternatives, suggestions or recommendations using information available at the time the query is made. These recommendations shall be of a guiding nature. The User shall consider the actual conditions existing at the time of travel and follow the instructions of the authorities, transportation personnel, signage and other official information. In the event of a discrepancy between information from MOVEA and an instruction issued directly by a competent authority or authorized personnel of the transportation system, the User shall follow the latter.

SIXTH. GEOLOCATION.

Certain functionalities of MOVEA may require access to the location of the User’s device. Where applicable, the User may authorize or deny access to his or her location through the settings of his or her device or of the Application itself. Deactivation of location services may cause certain functionalities to be unavailable or their accuracy to decrease. The processing of location data that constitute personal data shall be carried out in accordance with the MOVEA Privacy Notice and applicable legislation. The use of geolocation services does not mean that IDEAR ELECTRÓNICA guarantees the absolute accuracy of the location shown.

SEVENTH. ACCEPTANCE OF THE TERMS AND CONDITIONS.

The User shall read these Terms and Conditions before using MOVEA. When the Application requires express acceptance by means of a checkbox, button, acceptance screen, registration or other equivalent electronic mechanism, the selection of the corresponding option shall constitute the User’s expression of consent with respect to these Terms and Conditions. Acceptance made through electronic means shall produce the corresponding legal effects in accordance with applicable Mexican legislation. IDEAR ELECTRÓNICA may retain electronic records relating to acceptance, including the version of the Terms accepted, date, time and other information technically necessary to evidence such acceptance, in accordance with applicable legislation and its Privacy Notice. If the User does not agree with these Terms and Conditions, the User shall refrain from using MOVEA.

EIGHTH. LEGAL CAPACITY AND MINORS.

The User represents that he or she has sufficient legal capacity to use MOVEA and to be bound under these Terms and Conditions. When MOVEA is used by minors, such use shall be carried out under the supervision and responsibility of the person exercising the corresponding patria potestad, guardianship or legal representation, under the terms permitted by applicable legislation.

IDEAR ELECTRÓNICA may establish additional age requirements with respect to functionalities that involve payments, contracting, creation of payment instruments or other transactions that legally require it.

NINTH. USER REGISTRATION AND ACCOUNT.

MOVEA may allow access to certain functionalities without the need for registration and require an Account for others. When registration is necessary, the User undertakes to provide truthful, up-to-date and complete information. The User shall be responsible for maintaining the confidentiality of his or her access credentials and for adopting reasonable measures to prevent unauthorized access to his or her Account. The User shall inform MOVEA, through the enabled mechanisms, upon becoming aware of any unauthorized access or of any incident related to his or her Account. IDEAR ELECTRÓNICA may implement authentication, identity verification, temporary codes or other security mechanisms.

TENTH. LICENSE OF USE.

Subject to compliance with these Terms and Conditions, IDEAR ELECTRÓNICA grants the User a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable license to install and use MOVEA exclusively for lawful purposes and in accordance with its ordinary functionality. This license does not constitute a sale, assignment or transfer of intellectual or industrial property rights.

ELEVENTH. PROHIBITED USES.

The User is prohibited from:

• a) using MOVEA for unlawful or fraudulent purposes or purposes contrary to these Terms;

• b) copying, reproducing, modifying, adapting, transforming, distributing, commercializing, sublicensing or exploiting MOVEA or its components without authorization;

• c) reverse engineering, decompiling, disassembling or attempting to obtain the source code, except when a mandatory legal provision expressly permits it;

• d) performing scraping, crawling, harvesting, mining or automated or massive extraction of information without authorization;

• e) accessing APIs, databases, servers, networks or technological infrastructure in an unauthorized manner;

• f) using unauthorized bots, robots, scripts or automated mechanisms;

• g) interfering with authentication, security, encryption, access control or technological protection mechanisms;

• h) introducing viruses, malware, malicious code or elements intended to affect the operation of MOVEA;

• i) impersonating other persons;

• j) attempting to obtain unauthorized access to the accounts of other Users;

• k) using the Data to develop competing products or services through unauthorized extraction;

• l) removing intellectual property notices;

m) using trademarks, trade names, designs or logos of MOVEA or IDEAR ELECTRÓNICA without authorization; or n) using the Application in a manner that affects the security, integrity, availability or operation of MOVEA or of Third Parties. IDEAR ELECTRÓNICA may implement reasonable technical measures to prevent, detect and stop such conduct.

TWELFTH. INTELLECTUAL AND INDUSTRIAL PROPERTY.

MOVEA, its software, architecture, source code and object code, interfaces, designs, structure, functionalities, documentation, algorithms, models, systems, compilations, databases, original content, graphic elements, photographs, audiovisual material, distinctive signs, trademarks, trade names, logos and other elements capable of protection are the property of IDEAR ELECTRÓNICA, of its related companies or of their respective owners and are used under authorization, as applicable. These Terms do not transfer to the User any property right whatsoever over such elements. Trademarks and other distinctive signs belonging to Third Parties shall continue to be the property of their respective owners.

THIRTEENTH. DATABASES, ALGORITHMS, ANALYTICS AND ARTIFICIAL INTELLIGENCE.

MOVEA may use databases, algorithms, mathematical models, statistical tools, advanced analytics, machine learning, artificial intelligence or other technological systems to process information, identify patterns, calculate paths, generate estimates, predict arrival times, analyze mobility, estimate occupancy or provide other functionalities. The results produced by these systems may depend on the quality, availability, timeliness and accuracy of the data used. Therefore, automated predictions, recommendations or estimates shall not be construed as absolute guarantees regarding future events. The processing of personal data by means of such technologies, if any, shall be subject to the Privacy Notice and applicable legislation.

FOURTEENTH. INFORMATION AND SERVICES PROVIDED BY THIRD PARTIES.

MOVEA may integrate information, maps, links, APIs, platforms or services provided by Third Parties. IDEAR ELECTRÓNICA shall endeavor to use sources that it reasonably considers adequate; however, it does not necessarily control the generation, updating or availability of information produced directly by Third Parties. External services may be subject to their own terms, conditions and privacy notices. The inclusion of Third-Party information, links or integrations does not necessarily imply association, representation, sponsorship or warranty on the part of IDEAR ELECTRÓNICA.

FIFTEENTH. PRIVACY AND PERSONAL DATA PROTECTION.

The processing of personal data carried out by IDEAR ELECTRÓNICA through MOVEA shall be subject to the MOVEA Privacy Notice, which is available within the Application and/or through the electronic means enabled for such purpose. The Privacy Notice forms part of the legal framework applicable to the use of MOVEA. Personal data shall be processed in accordance with the purposes, bases, mechanisms for exercising rights and other conditions set forth in said Notice. In the event of any conflict between these Terms and Conditions and the Privacy Notice with respect to the processing of personal data, the latter shall prevail exclusively in matters of privacy and personal data protection.

SIXTEENTH. DEVICE PERMISSIONS

Depending on the functionalities used, MOVEA may request access to certain device capabilities, including location, notifications, camera, storage or other functionalities. MOVEA shall request such permissions through the mechanisms provided by the operating system when they are necessary. The User may manage the permissions from his or her device settings, bearing in mind that their revocation may prevent or limit certain functionalities.

SEVENTEENTH. TELECOMMUNICATIONS AND DATA CONSUMPTION.

The use of MOVEA requires, for certain functionalities, Internet access. IDEAR ELECTRÓNICA does not provide the telecommunications service used by the User to access MOVEA. The costs of mobile data, Internet, roaming or any other charge imposed by the telecommunications provider shall be the responsibility of the User in accordance with the agreement the User maintains with such provider. IDEAR ELECTRÓNICA shall not be liable for interruptions, speed, coverage or availability of telecommunications networks that are not under its control.

EIGHTEENTH. AVAILABILITY OF THE APPLICATION.

IDEAR ELECTRÓNICA shall make commercially and technically reasonable efforts to keep MOVEA available and functioning properly. Notwithstanding the foregoing, permanent and uninterrupted availability is not guaranteed. MOVEA may be temporarily suspended due to maintenance, updates, improvements, technical failures, security, technological changes, requirements of authorities, interruptions by providers, fortuitous events or force majeure. When reasonably possible, IDEAR ELECTRÓNICA shall endeavor to provide information on relevant scheduled interruptions.

NINETEENTH. UPDATES.

IDEAR ELECTRÓNICA may update MOVEA to introduce improvements, new functionalities, corrections, security measures, compatibility changes or modifications arising from legal or technical requirements. Certain updates may be necessary to continue using the Application. IDEAR ELECTRÓNICA may cease to provide support for older versions when reasonably necessary for technological, operational or security reasons.

TWENTIETH. FUTURE FUNCTIONALITIES.

MOVEA may subsequently incorporate new functionalities, including, by way of example:

• a) consultation and management of means of access to transportation;

• b) balance inquiries;

• c) top-ups;

• d) QR codes;

• e) NFC technologies;

• f) physical or virtual cards;

• g) payment means and processing;

• h) acquisition of travel tickets or travel entitlements;

• i) benefit programs;

• j) promotions;

k) multimodal mobility; l) parking; m) bicycles, scooters or other micromobility services; n) on-demand mobility services; o) integration with other providers; p) mobility-related digital accounts; q) artificial intelligence tools; and r) any other solution related to mobility, transportation or technology. When a new functionality requires particular conditions, such conditions shall be made available to the User prior to its contracting or use and shall supplement these Terms and Conditions. The inclusion of this clause does not mean that IDEAR ELECTRÓNICA currently provides all of the services mentioned herein.

TWENTY-FIRST. PAYMENTS AND PAYMENT SERVICES.

Currently, when the available functionalities of MOVEA are free of charge, the User may use them without consideration, without prejudice to any applicable telecommunications costs. In the event that paid services are incorporated, IDEAR ELECTRÓNICA shall inform, in advance and clearly, of the fees, taxes, commissions, features, restrictions, cancellation mechanisms and other applicable conditions. No charges shall be made to the User without the expression of consent that is legally necessary. When there are recurring charges, subscriptions or memberships, the information and cancellation mechanisms required by applicable legislation shall be provided.

TWENTY-SECOND. ADVERTISING, PROMOTIONS AND COMMERCIAL COMMUNICATIONS.

MOVEA may display advertising, promotions, benefits or commercial information of its own or of Third Parties, always in accordance with applicable legislation. When a communication requires consent under applicable regulations, such consent shall be obtained through the corresponding mechanisms. Promotions shall be subject to their rules, term, availability, restrictions and particular conditions.

TWENTY-THIRD. USER RESPONSIBILITY.

The User shall be responsible for the use he or she makes of MOVEA. The User shall use the Application in a prudent manner compatible with his or her personal safety and that of Third Parties. In particular, the User shall refrain from handling the mobile device in a manner that may distract him or her while driving vehicles, bicycles or other means of transportation, or during any activity in which such use may create a risk. MOVEA shall not be used as a substitute for road signage, instructions from authorities, safety measures or the reasonable judgment of the User.

TWENTY-FOURTH. LIMITATION OF LIABILITY.

To the maximum extent permitted by applicable legislation, IDEAR ELECTRÓNICA shall not be liable for damages arising exclusively from:

• a) operational decisions of authorities, concessionaires, permit holders, carriers or operators;

• b) delays, cancellations, modifications or interruptions of the Transportation Services;

• c) incorrect, incomplete or outdated information provided directly by Third Parties;

• d) failures of telecommunications, GPS, Internet or external infrastructure;

• e) use of incompatible devices or operating systems;

• f) breach by the User of these Terms;

• g) unlawful or unauthorized use of MOVEA;

• h) fortuitous events or force majeure; or

• i) circumstances beyond the reasonable control of IDEAR ELECTRÓNICA. This clause shall not be construed as an advance waiver of the User’s non-waivable rights or as an exclusion of liability when such liability cannot be excluded under Mexican legislation. IDEAR ELECTRÓNICA shall be liable for the obligations and liabilities legally corresponding to it for acts or omissions directly attributable to the Company.

TWENTY-FIFTH. FORTUITOUS EVENTS AND FORCE MAJEURE.

No provision of these Terms shall oblige IDEAR ELECTRÓNICA to be liable for non-performance directly caused by unforeseeable or unavoidable events beyond its reasonable control, including natural disasters, extraordinary weather phenomena, earthquakes, fires, floods, epidemics, pandemics, conflicts, riots, acts of authority, widespread interruptions of telecommunications or power, cyberattacks of extraordinary scope or other events of an equivalent nature, without prejudice to the obligations that cannot be excluded under the law.

TWENTY-SIXTH. INFORMATION SECURITY.

IDEAR ELECTRÓNICA may implement reasonable administrative, technical and physical measures intended to protect the security, availability and integrity of its systems and of the information under its responsibility. The User acknowledges that no technological system connected to the Internet can be considered absolutely immune to security incidents. The User shall reasonably cooperate in the protection of his or her Account and device and report any incident of which he or she becomes aware.

TWENTY-SEVENTH. SUSPENSION AND TERMINATION OF ACCESS.

The User may stop using MOVEA at any time and, where there is an Account, request its deletion through the enabled mechanisms, subject to the information retention obligations that legally apply. IDEAR ELECTRÓNICA may restrict or suspend access when there are reasonable indications of:

• a) breach of these Terms;

• b) fraud;

• c) unauthorized access;

• d) security risks;

• e) harm to Third Parties;

• f) unlawful use;

• g) technological manipulation; or

• h) a requirement from a competent authority. When applicable and reasonably possible, the User shall be informed of the measure adopted.

TWENTY-EIGHTH. MODIFICATIONS TO MOVEA.

IDEAR ELECTRÓNICA may modify, incorporate, replace or eliminate functionalities of MOVEA as a result of technical, commercial, regulatory, operational or security needs. When a modification substantially affects the rights or obligations of the User, IDEAR ELECTRÓNICA shall provide reasonable information about the change before it becomes applicable when so required by legislation.

TWENTY-NINTH. MODIFICATIONS TO THE TERMS AND CONDITIONS.

IDEAR ELECTRÓNICA may modify these Terms and Conditions to adapt them to legal, regulatory, technological, operational or commercial changes. The current version shall be available in MOVEA and shall identify its date of last update. When the modifications are substantial and legally require new acceptance, IDEAR ELECTRÓNICA shall request the User’s consent through an appropriate electronic mechanism before the User continues using the affected functionalities. The mere silence of the User shall not be deemed acceptance when legislation requires express consent.

THIRTIETH. ELECTRONIC COMMUNICATIONS.

The Parties acknowledge the validity of communications and expressions made through electronic means under the terms permitted by Mexican legislation. IDEAR ELECTRÓNICA may send operational communications through in-Application notifications, push notifications, email or other means provided by the User, as applicable. Advertising or commercial communications shall additionally be subject to the applicable legal provisions.

THIRTY-FIRST. CONSUMER RIGHTS.

Nothing set forth in these Terms and Conditions shall be intended to limit, exclude or cause the User to waive rights that are non-waivable under Mexican legislation.

When there is a consumer relationship between the User and IDEAR ELECTRÓNICA, the rights provided for in the Ley Federal de Protección al Consumidor and other applicable provisions shall apply. The User may, when legally appropriate, resort to the Procuraduría Federal del Consumidor (PROFECO) to exercise the rights that correspond to him or her.

THIRTY-SECOND. GOVERNING LAW.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Mexican States. Consumer relationships shall be governed by the applicable federal legislation and by the corresponding public policy provisions.

THIRTY-THIRD. JURISDICTION.

Without prejudice to the rights that correspond to the User in matters of consumer protection and to any territorial jurisdiction that is non-waivable under applicable legislation, disputes arising from these Terms and Conditions shall be submitted to the competent authorities and courts in accordance with Mexican law. The Parties shall submit to the competent courts in Zapopan, Jalisco, Mexico, waiving only any jurisdiction that may legally be waived.

This provision shall not prevent the User from exercising the rights that correspond to him or her before PROFECO or another competent authority.

THIRTY-FOURTH. SEVERABILITY.

If any provision of these Terms and Conditions is declared null, invalid or unenforceable by a competent authority, such circumstance shall not affect the validity of the remaining provisions. The affected provision shall be construed, when legally possible, in the manner that best preserves its purpose within the limits permitted by applicable legislation.

THIRTY-FIFTH. NO WAIVER.

The failure by IDEAR ELECTRÓNICA to exercise any right arising from these Terms shall not constitute a waiver thereof. Any waiver shall be made expressly when legally required.

THIRTY-SIXTH. INTEGRATION.

These Terms and Conditions, together with the Privacy Notice and, if applicable, the particular conditions applicable to certain functionalities, constitute the contractual framework applicable to the use of MOVEA. In the event of a conflict between these Terms and a particular condition expressly accepted with respect to a specific functionality, the particular condition shall prevail exclusively with respect to such functionality, always within the limits permitted by applicable legislation.

THIRTY-SEVENTH. LANGUAGE.

The official version of these Terms and Conditions shall be the version drafted in the Spanish language. In the event that MOVEA provides translations into other languages, such translations shall be for informational purposes, unless otherwise provided by law. In the event of any discrepancy, the Spanish version shall prevail, within the limits permitted by applicable legislation.

THIRTY-EIGHTH. CONTACT.

For any question, clarification, report or comment related to MOVEA or to these Terms and Conditions, the User may communicate through: Email: avisodeprivacidad@bea.com.mx IDEAR ELECTRÓNICA may additionally enable support mechanisms within MOVEA, website, help center or other electronic channels.

THIRTY-NINTH. EFFECTIVE DATE.

These Terms and Conditions shall enter into force on the date indicated as “Last updated” and shall remain in force for as long as the User uses MOVEA, unless they are superseded by a later version in accordance with these Terms and applicable legislation.

ELECTRONIC ACCEPTANCE.

I declare that I have read and understood the MOVEA Terms and Conditions of Use and agree to be bound by them.
